The Thrive Cash program (“Program”) sponsored by Thrive Market, Inc. (Thrive Market”) is designed to help you get the most out of your membership. We reward you for doing the things you already do: shop on Thrive Market.com (the “Site”), refer friends to the Thrive Market, participate in promotions, and more. Best of all, the Thrive Cash you earn can be used to purchase more healthy groceries! The following Thrive Cash terms and conditions (these “Thrive Cash Terms and Conditions”) contain important information regarding the Program. Please read the following Thrive Cash Terms and Conditions carefully. These Thrive Cash Terms and Conditions are a binding agreement between you and Thrive Market and will govern your participation in any and all Program offers. Participation in the Program and/or redemption of Thrive Cash constitutes your agreement to the Thrive Cash Terms and Conditions and any modified terms included herein, our Site Terms of Service, and the Site Privacy Policy, which are incorporated herein.

Being eligible for the Program entitles members (“Members”) to take advantage of certain Program rewards (“Thrive Cash”). Thrive Market may, in its sole and absolute discretion, cancel, change, suspend or modify any aspect of the Program, these Terms & Conditions, and/or any Program Reward at any time, including the availability of any Program Reward, without notice, so it is important to check the Thrive Cash Terms and Conditions periodically.

Program Period

This Program will continue until terminated, suspended, modified, or converted to another rewards program by Thrive Market (the "Program Period").

Eligibility

To become a Member of the Program, you must be a legal resident of the 48 contiguous United States and District of Columbia and be 18 years of age or older. To enroll in Program, you simply need to have registered for a Thrive Market account at https://thrivemarket.com/. You do not need to have a membership to earn Thrive Cash in the Program, but you do need to have a membership to use your Thrive Cash.

Earning Thrive Cash

Once you have become a Member, some of the ways you can earn Thrive Cash (“Thrive Cash”) are listed below:

• Participating in marketing promotions
• Refer friends — earn dollars in Thrive Cash for every friend that signs up for Thrive Market and becomes a paid Member
• Courtesy Thrive Cash - Thrive Market may issue Thrive Cash via Membership Services for service credits or other make goods
• Fill out product feedback surveys — Thrive Market members may earn Thrive Cash for product feedback and surveys
• Submit Reviews on eligible products — Thrive Market members may earn Thrive Cash on Thrive Cash eligible products, once the review is approved and posted

Thrive Market reserves the right to suspend, terminate, revalue or modify, without liability, or notice to Members, all or part of the Thrive Cash value structure and offers. Thrive Market reserves the right to adjudicate all Thrive Cash discrepancies in its sole discretion, and the Members agree to abide with any such adjudication.

Thrive Cash Redemption

In order to redeem your Thrive Cash, you must be a paid Member in good standing. Every $1 in Thrive Cash you earn in accordance with this Program equals $1 to spend on the Site. Thrive Cash is redeemable solely towards purchase of merchandise on the Site, and you can redeem them in the checkout/ordering process. You may not use Thrive Cash towards the purchase of Gift Cards or Memberships.

Any balance of Thrive Cash will automatically be applied to the gross merchandise value (exclusive of taxes and shipping) (“GMV”) of your order at checkout.

Thrive Cash is available for redemption for the purchase of merchandise on the Site only while supplies last and quantities may be limited. Thrive Cash may be applied toward partial orders or purchases only when Member uses the remaining balance of his/her Thrive Cash, and the remainder of the order will be paid by chosen method if payment by Member. Members may not allocate the amount of Thrive Cash they wish to use for an order. By way of example, if a Member has a $100 order in her cart, and has $50 in Thrive Cash, she may apply all of her Thrive Cash to the purchase and pay the remainder on her credit card. She may NOT choose to use $25 in Thrive Cash towards the purchase and pay the balance on her credit card.

Any unused Thrive Cash at the time your Membership is terminated shall be forfeited. If you reactivate your Membership prior to the expiration date, you may use that Thrive Cash. If you have a trial membership, in the event that you have a balance of Thrive Cash at the conclusion of your Trial Period and you decide not to continue as a Member, that balance will be forfeited.

Thrive Cash Expiration

Thrive Cash issued on or after July 1, 2022 will expire within 30 days of the issuance date, unless otherwise explicitly stated. For Thrive Cash issued prior to July 1, 2022, Thrive Cash expires in 60 days after issuance, unless otherwise specified.

If Member does not redeem Thrive Cash within this time frame, Member forfeits all such Thrive Cash.

Thrive Cash Balance

You can always check your Thrive Cash balance in your account page.

Refunds & Returns

Any items received as a result of Thrive Cash redemption may only be exchanged for a refund of the applicable Thrive Cash redeemed for such item (not cash or credit). Any refunded Thrive Cash will have a new expiration date set. Purchases made with Thrive Cash will ship in the normal course of business.

Thrive Cash Minimums and Maximum

There is no minimum balance to use your Thrive Cash. You cannot redeem Thrive Cash for more than the total amount of your purchase. Thrive Cash is not redeemable for cash.

Reward Conditions

Thrive Cash may be taxable, depending on the value of the item and the federal, state, and local tax laws applicable to Members. Members are solely responsible for reporting such items on their tax returns and paying any associated tax liability. Members may not assign or transfer any Thrive Cash. Thrive Market makes no warranty in any respect as to any Thrive Cash, merchandise or service available within the Program.

Termination

Thrive Market may, in its sole and absolute discretion, cancel, change, suspend, or modify any aspect of the Program and/or any Reward at any time, including the availability of any Reward, without notice. Thrive Market may, in its sole and absolute discretion, terminate or suspend any Member’s participation in the Program for breach of these Thrive Cash Terms and Conditions, or for taking any actions that are inconsistent with the intent of these Terms and Conditions. Thrive Market reserves the right at its sole discretion to prohibit any Member from participating in any aspect of the Program if Thrive Market deems or suspects that such Member has engaged in or has attempted to engage in any of the following: (a) acting in violation of these Thrive Cash Terms and Conditions; or (b) damaging, tampering with or corrupting the operation of the Program or Site; or (c) acting with intent to annoy, harass or abuse any other person; or (d) any inappropriate, uncooperative, disruptive, fraudulent, potentially fraudulent, or unusual behavior or activity; or (e) activity deemed in the sole discretion of Thrive Market to be generally inconsistent with the intended operation of the Program. Any decision Thrive Market makes relating to termination or suspension of any Member’s participation in the Program shall be final and binding in all respects. Thrive Market shall be the sole determiner in cases of suspected abuse, fraud, or breach of these Thrive Cash Terms and Conditions or intent of these Thrive Cash Terms and Conditions.
